On 30 October 2026, the Standing Committee on Company Law Reform (SCCLR) published its 2025-26 annual report, the 40th in the series. Established in 1984, the SCCLR advises the Financial Secretary on amendments to the Companies Ordinance and the Companies (Winding Up and Miscellaneous Provisions) Ordinance, as well as amendments to the Securities and Futures Ordinance on corporate governance and shareholders' protection.

During the reporting period, the Government consulted the SCCLR on a legislative proposal to remove the exemption permitting mixed media offers. The Government also briefed members on the uncertificated securities market regime and the company re-domiciliation regime, so as to facilitate their understanding of the relevant details and latest developments.

These topics bear directly on corporate practice. A re-domiciliation regime determines whether overseas companies can move their place of incorporation to Hong Kong, with implications for group structuring and listing plans; the uncertificated securities market will reshape how shares are registered and transferred; and the mixed media offer exemption affects how share offers can be documented. Following the direction of company law reform helps businesses operating in, or planning to establish themselves in, Hong Kong prepare ahead.

Recommended actions: the full report is available on the Companies Registry website for public inspection. Companies weighing a re-domiciliation to Hong Kong, or a fresh incorporation here, should monitor subsequent legislative steps and rely on official announcements for implementation details. We will continue to follow these developments and, alongside our incorporation, annual compliance and filing services, advise clients on the timing and impact of structural adjustments.
